By accessing or using our websites and other products or services, you agree to be bound by these terms of use and all terms incorporated by reference. If you do not agree to all of these terms, please do not access or use our websites or other products or services.
These Terms of Service ("Terms") apply to your access to and use of the websites and other products and services (collectively, the "Services") provided by Standard Code, LLC ("Standard Education," "we," or "us"). Our web platform is licensed solely for educational purposes, and it's designed with you, the educator, in mind. You, as a teacher, school administrator, professor, or other educator (collectively, “Educator”), are the intended users of our Services.
These Terms do not change the terms or conditions of any other agreement you have with Standard Education for products, services, or any other matter. If you are using the Services on behalf of an entity, you confirm that you are authorized to accept these Terms on behalf of the entity and that the entity agrees to be responsible to us if you violate these Terms.
Standard Education reserves the right to change or modify these Terms at any time and in our sole discretion. If Standard Education makes changes to these Terms, we will update the “Last Updated” date at the top of these Terms. Your continued use of the Services will confirm your acceptance of the revised Terms. We value your understanding of the terms and conditions that apply to your use of the Services, and we encourage you to frequently review the Terms. If you do not agree to any amended Terms, you must stop using the Services.
Payment of Fees
Standard Education will send advance invoices according to the chosen billing cycle during sign-up. To start receiving services, an order form from Standard Education must be signed by your authorized representative and approved by Standard Education. The initial invoice from Standard Education must be paid within thirty (30) days after services begin or by the specified date in the approved order form. All invoices must be settled within sixty (60) days, or your services may be canceled.
Privacy Policy
Please refer to our Privacy Policy for details on how Standard Education collects, uses, and shares user information.
Children’s Online Privacy Protection Act of 1998 (COPPA)
When using the Services for a student under 13, you must be an authorized educator with parental consent or the parent providing consent to the educator in accordance with the Children’s Online Privacy Protection Act of 1998 (COPPA).
Family Educational Rights and Privacy Act of 1974 (FERPA)
Under the Family Educational Rights and Privacy Act of 1974 (FERPA), schools must, in some instances, give parents and guardians the right to inspect and review their children's education records. They must also obtain consent from the parents, guardians, or eligible students (students who are 18 years of age or attending a postsecondary institution) before disclosing any personal information contained in the students' education records.When you choose to install, access, or use the Services, it affirms that (a) you have thoroughly reviewed and grasped our Privacy Policy, including how Standard Education gathers, uses, and shares your information when you access and use the Services; (b) the Student's Educator has obtained consent from a parent or guardian of the Student (or from the Student, if eligible) to disclose information about the Student that is contained in the Student's education records in compliance with FERPA, other applicable laws or regulations, and our Privacy Policy.
Copyright and Limited
The Services and all the Content and materials on them, such as the Standard Education logo, designs, text, graphics, pictures, information, data, software, sound files, and other files (referred to as "Content"), are the property of Standard Education, our licensors, or users. Unless otherwise indicated through the Services or by Standard Education, they are protected by U.S. and international copyright laws.
You are granted a limited, nonexclusive, non-sublicensable license to access and use our Services and Content. This license is subject to our Terms and does not include:
* The resale or commercial use of the Services or the Content.
* The distribution, public performance, or public display of any Content (except over the Educator’s internal network.
* The modifying or making any derivative uses of the Services or the Content.
* The use of any data mining, robots, or similar data gathering method.
* The downloading (other than page caching) of any portion of the Services, the Content, or any information contained therein, except as expressly permitted on the Service.
* The use of the Services or the Content other than for their intended purposes
These Terms also govern any updates to, supplements to, or replacements for the Services unless separate terms accompany such updates, supplements, or replacements, in which case the separate terms will apply.
Any use of the Services or the Content in a way not explicitly authorized here without prior written permission from Standard Education is strictly prohibited and will result in the termination of the license granted here. This unauthorized use may also violate applicable laws, including but not limited to copyright and trademark laws and relevant communications regulations and statutes. Unless explicitly stated here or by Standard Education, nothing in these Terms should be interpreted as granting any license to intellectual property rights, whether by estoppel, implication, or otherwise. This license can be revoked at any time.
The Services and the Content may contain software components subject to separate license terms. In this case, those license terms will apply to the access and use of such software components.
Repeat Infringer Policy; Copyright Complaints
As per the Digital Millennium Copyright Act (“DMCA”) and other applicable laws, Standard Education may, at its discretion, terminate the accounts of repeat infringers and limit access or terminate the accounts of users who infringe on the intellectual property rights of others.
Trademarks
The "Standard Education" name and logo, as well as any other product or service names, logos, or slogans associated with Standard Education, are trademarks of Standard Education and are protected in the United States and other countries. Without prior written permission from Standard Education or the relevant trademark holder, these trademarks may not be copied, imitated, or used in whole or part. Additionally, you are not permitted to use any metatags or other "hidden text" that incorporates "Standard Education" or any other name, trademark, or product or service name of Standard Education without our prior written consent.
You have permission to use Standard Education logos in internal presentations and training materials related to our Services. The look and feel of the Services, including page headers, custom graphics, button icons, and scripts, are all part of the service mark, trademark, and/or trade dress of Standard Education. This means they cannot be copied, imitated, or used without our prior written permission.
All trademarks, product names, and company names mentioned in the Services are the property of their respective owners. Reference to any products or services does not imply endorsement by Standard Education.
Hyperlinks
It's important to note that the limited, nonexclusive right to create a text hyperlink to the Services for noncommercial purposes may be revoked under certain conditions. This right is provided on the condition that the link does not portray Standard Education or any of our products or services in a false, misleading, derogatory or otherwise defamatory manner. It is further required that the linking site does not contain any adult or illegal material or any material that is offensive, harassing, or otherwise objectionable. Unauthorized use of a Standard Education logo or other proprietary graphic of Standard Education to link to the Services is strictly prohibited without the express written permission of Standard Education. Similarly, the use, framing, or utilization of framing techniques to enclose any Standard Education trademark, logo, or other proprietary information, including the images found at the Services, the content of any text or the layout/design of any page or form contained on a page on the Services without Standard Education’ express written consent is not allowed. Except as noted above, you are not conveyed any right or license by implication, estoppel, or otherwise in or under any patent, trademark, copyright or proprietary right of Standard Education or any third party.
Standard Education wants to ensure your online safety. Therefore, we make no claim or representation regarding, and accept no responsibility for, the quality, content, nature, or reliability of third-party websites accessible by hyperlink from the Services, or websites linking to the Services. Such sites are not under the control of Standard Education, and Standard Education is not responsible for the contents of any linked site, any link contained in a linked site, or any review, changes or updates to such sites. Standard Education provides these links to you only as a convenience, and the inclusion of any link does not imply affiliation, endorsement or adoption by Standard Education of any site or any information contained therein. When you leave the Services, it's important to note that our terms and policies no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any site to which you navigate from the Services to protect your online security.
Third-party Content
Standard Education and other users may share third-party content through the Services, including links to web pages. We do not control or endorse any third-party content and do not guarantee its accuracy. We are not liable for third-party content nor commit to reviewing or updating it. Users access third-party content at their own risk.
User Content
You agree that you will not violate any law, contract, intellectual property or other third-party right or commit a tort, and that you are solely responsible for your conduct while on the Services. You agree that you will abide by these Terms:Do not use the Services in a way that could disrupt other users or impair their functioning.
Refrain from sending unsolicited advertising or spam or collecting other users' information commercially.
* Do not use any robot, spider, crawler, scraper, or other automated means or interface not provided by us to access the Services or to extract data.
* Do not reverse engineer or bypass measures to access any part of the Services unless expressly permitted by law.
* Do not use or attempt to use another user’s account without authorization from that user and Standard Education. Do not attempt to bypass any content filtering techniques we use or try to access any service or area of the Services you are not authorized to access.
* Engage in any harassing, intimidating, predatory or stalking conduct
* Develop any third-party applications that interact with User Content and the Services without our prior written consent.
* Do not use the Services for any illegal or unauthorized purpose or promote any activity that violates these Terms.
Standard Education is not responsible for any user conduct or interactions, online or offline, and is not liable for any associated loss, damage, injury, or harm. Enforcement of these Terms is solely at the discretion of Standard Education. The absence of enforcement in some instances does not waive Standard Education’s right to enforce these Terms in other instances.
Any use of the Services in violation of these Terms may result in, among other things, termination or suspension of your rights to use the Services.
Feedback
By submitting any questions, comments, suggestions, ideas, plans, notes, drawings, original or creative materials or other information or materials about Standard Education and the Services to Standard Education (collectively, “Feedback”), you agree that the submitted Feedback is non-confidential and becomes the sole property of Standard Education. Standard Education will own exclusive rights, including all intellectual property rights, in and to such Feedback and will be entitled to the unrestricted use and dissemination of this Feedback for any purpose, commercial or otherwise, without acknowledgment or compensation to you. You hereby irrevocably assign all rights, titles, and interests in and to such Feedback to Standard Education.
Indemnification
You agree to defend, indemnify, and protect Standard Education and its partners, contractors, and consultants from any claims, damages, and liabilities arising from:
* Your use of the Services.
* Any Feedback you provide.
* Your violation of these Terms.
* Your violation of the rights of another.
In the event of any claim that the Services, or your possession or use thereof, infringes any third party’s intellectual property rights, you agree to contact Standard Education directly. Standard Education will, at our option and expense, investigate, settle, defend and/or discharge the claim.
Disclaimer
Unless explicitly stated otherwise in a document by Standard Education, the services and content provided are offered on an "as is" basis without any warranties, either express or implied. Standard Education does not guarantee the accuracy, completeness, reliability, currentness, or error-free nature of the content of the services. Standard Education disclaims all other warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Standard Education is not responsible for typographical errors or omissions related to text or photography. While Standard Education strives to ensure that your access to and use of the services is secure, it cannot guarantee that the services or its server(s) are free of viruses or other harmful components. Therefore, it is advisable to use industry-recognized software to detect and disinfect any viruses from any downloads.
Standard Education can change or suspend content or service features without notice or liability. Any reference to products or services does not imply endorsement. In some jurisdictions, specific disclaimers may not apply.
Limitation of Liability
Standard Education and the Standard Education parties will not be liable to you for any direct, special, indirect, or consequential damages or any other damages of any kind. This includes loss of use, profits, or data, whether due to contract, negligence, or any other reason. This applies to the use of the services or the content accessed through the services. It also covers any reliance on information obtained from Standard Education, mistakes, interruptions, errors, viruses, delays, or any other issues, regardless of the cause. Additionally, we are not liable for any matters beyond our reasonable control, including the actions of other users or our services.Under no circumstances will Standard Education be liable for more than $100 or the total amount you paid for the services in the twelve months before the claim. This applies to any claims related to the use or inability to use the services or to these terms, whether in contract, warranty, tort (including negligence, whether active, passive or imputed), product liability, strict liability, or other legal theory.

Modifications to the Services
Standard Education reserves the right to modify or discontinue the Services or any features or parts of the Services, temporarily or permanently, without prior notice. Standard Education will make reasonable efforts to give you advance notice of any such modification or discontinuation as long as it is reasonably practicable based on the circumstances. You agree that Standard Education will not be liable for any modification, suspension, or discontinuation of the Services or any part thereof.
Applicable Law; Arbitration
You and Standard Education agree to arbitrate any dispute arising from these Terms or your use of the Services, except that you and Standard Education are not required to arbitrate any dispute in which either party seeks equitable and other relief for the alleged unlawful use of copyrights, trademarks, trade names, logos, trade secrets, or patents. Arbitration prevents you from suing in court or from having a jury trial. You and Standard Education agree that you will notify each other in writing of any dispute within thirty (30) days of when it arises. Aside from the class procedures and remedies outlined below, the arbitrator has the power to provide any remedy that would typically be obtainable in court. These Terms will regulate any disagreements between the parties, the laws of the State of Georgia, and applicable United States law. This will be without consideration of any conflict of laws principles that may stipulate the application of another jurisdiction's law.
Support Services
Standard Education is responsible for providing technical support services for its Services.
No Export
You are not allowed to use or export the Services unless authorized by United States law and the laws of the jurisdiction where you obtained the Services. Specifically, the Services may not be exported or re-exported (a) to any U.S. embargoed countries or (b) to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Department of Commerce Denied Person’s List or Entity List. By using the Services, you confirm that you are not located in any such country or on any such list.
Termination
Standard Education has the right to terminate your use of the Services or any part of them without notice and at their sole discretion. They may also block your future access to the Services or any part of them. You agree that Standard Education may, at its sole discretion, terminate your password, account (or any part of it), and your use of the Site, Software, and Services. They may also remove and discard any content within the Site for any reason, including lack of use or if Standard Education believes that you have violated or acted inconsistently with the terms of use.Standard Education may modify or discontinue the Site or Services at any time without notice. This may result in deactivating or deleting your account without liability to you or any third party.
Severability
If any provision of these Terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.Contact Us
